General Terms and Conditions (GTC)

1. Scope and Contracting Parties

These General Terms and Conditions (“GTC”) govern the contractual relationship between Tecsee GmbH, owner: Saad Radany, Karlstraße 33, 74072 Heilbronn, Germany (hereinafter referred to as “Tecsee”), and its customers (hereinafter referred to as “customers”).

All deliveries, services, and offers by Tecsee are based exclusively on these General Terms and Conditions. They form part of every contract Tecsee concludes with its customers regarding the services or goods offered.

These GTC also apply to future deliveries, services, or offers provided to customers, even if they are not explicitly agreed upon again.

The term “customers” refers to both consumers as defined in Section 13 of the German Civil Code (BGB) and entrepreneurs as defined in Section 14 BGB.

Additional rights apply to consumer customers in the context of distance selling and electronic commerce.

Third-party terms and conditions, including those of the customer, do not apply, even if Tecsee does not explicitly object to them in individual cases. Any reference by Tecsee to correspondence that includes third-party terms does not constitute agreement with those terms.


2. Conclusion of Contract

  • Non-binding Offers: Offers and pricing information in brochures, advertisements, and other promotional material are non-binding and subject to change.
  • Customer Orders: A customer order is considered binding for 14 calendar days from submission. Tecsee may accept the order within this period. The acceptance date is determined by the date the customer receives the order confirmation.

For online purchases, clicking the “Order with Obligation to Pay” button constitutes a legally binding offer (§145 BGB). Customers will receive an automated email confirming receipt of their order. However, this confirmation does not yet constitute acceptance of the offer. The contract is concluded only when Tecsee sends the product access credentials or explicitly accepts the offer in a separate email.


3. Scope of Services

  • General Services: The type and scope of services are defined in individual offers and service descriptions provided at the time of order.
  • Hosting Services: Tecsee provides hosting services, including shared and managed servers, domain name registration, and email inbox setup, based on the chosen hosting package.

Customers are granted a non-exclusive, time-limited right to use the software and server functionalities during the contract term.


4. Domain Name Registration

Tecsee facilitates domain name registration on behalf of customers.

  • Process: Tecsee applies for the requested domain through the appropriate registry or registers the domain itself when acting as the registry.
  • Limitations: Tecsee does not guarantee domain availability or protection against third-party claims. Customers will be notified if the requested domain is unavailable, and alternative options will be provided.

5. Customer Obligations

Customers are required to:

  1. Provide complete and accurate information during the ordering process.
  2. Notify Tecsee promptly of any changes to their data.
  3. Maintain and secure their account credentials. Passwords must be updated periodically.
  4. Create regular backups of data hosted on Tecsee servers.

6. Support Services

Support services are provided exclusively in German and are subject to a fee of €113.05 per hour (including VAT) if not explicitly included in the contract.


7. Payment Terms

  • Due Date: Payments are due immediately upon receipt of the invoice unless otherwise agreed.
  • Hosting Services: Customers choose a prepayment period (1, 3, 6, 12, 24, or 36 months).
  • SEPA Direct Debit: Customers authorize Tecsee to collect payments via SEPA direct debit, with a 5-day advance notification.

Failure to make timely payments may result in service suspension.


8. Prohibited Activities

Customers must not:

  • Host or transmit illegal or harmful content.
  • Engage in spamming or other forms of unsolicited communication.
  • Disrupt server stability or violate the rights of third parties.

Violations may result in service suspension or termination.


9. Liability

Tecsee’s liability is limited to:

  • Intent and Gross Negligence: Unlimited liability applies in such cases.
  • Minor Negligence: Liability applies only to breaches of essential contractual obligations.

10. Contract Duration and Termination

  • Contract Term: Contracts are indefinite unless otherwise agreed. Customers may terminate the contract with 7 days’ notice before the end of the term.
  • Domain Transfer: Customers must transfer or close domains before termination.

Unused prepayments are non-refundable unless otherwise stated.


11. Applicable Law and Jurisdiction

  • Governing Law: German law applies to all contracts.
  • Jurisdiction: Disputes will be handled in Heilbronn, Germany, unless the customer is a consumer.

Right of Withdrawal (For Consumers)

Consumers have the right to withdraw from this contract within 14 days without providing any reason.

Include a clear declaration (e.g., email or letter) stating your decision to withdraw.

Effects of Withdrawal:
If you withdraw, Tecsee will refund all payments, including delivery costs, within 14 days. Refunds will be processed using the same payment method unless otherwise agreed.
